Refund Policy

Last updated: [DATE]

Everything you pay on C-Suite is paid on a public blockchain, to a smart contract or to another person, by a transaction you sign in your own wallet. We do not hold your money, so we cannot give it back. What can come back is whatever the contract is built to give back, and this page says exactly what that is.

1. The one refund that exists: a mint that does not reach its minimum

1.1 Every collection has a minimum number of seats. If the mint closes short of it, the mint fails and every minter gets back everything they paid: the seat price, in the pair token they paid it in (a Stock Token, or another token the collection named), and the mint fee, in ETH. If you minted through someone's invite link, the whole fee comes back to you and the referrer is paid nothing.

1.2 You claim it; it is not sent to you. Once the mint is marked failed, you make two calls to the collection's contract, one for the seat price and one for the mint fee, from the wallet that minted. The site shows you a button for each. Gas for those calls is yours. There is no deadline: the refund waits in the contract until you take it.

1.3 The refund is what the contract holds. It holds exactly what minters paid unless the Stock Token's issuer has destroyed part of it (an issuer power described in the Risk Disclosure), in which case what is left is shared among minters in proportion to what each paid. While the Stock Token is paused by its issuer, refunds wait; a wallet the issuer has blocklisted cannot receive its refund until unblocked. None of that is lost; it is delayed.

1.4 Your seats from a failed mint stay in your wallet. They carry no pool and earn nothing.

2. What is not refunded

2.1 A seat in a collection whose mint succeeded. The money raised has gone into the pool and does not come back as a refund. The way out of a seat is a redemption, once redemption has opened for the collection: never in the first [LOCK PERIOD] after the pool opens, and after that only once trading in the pool has gone quiet (see the Terms of Service, section 4.9). You burn the seat and are paid back the amount of the pair token it put in. That is an exit built into the contract, not a refund.

2.2 Coin bought from the pool. A trade is final when the chain confirms it. Sell it back into the pool if you want out; the price is the pool's and the fee is the pool's.

2.3 A seat bought from another holder. That was a sale between two people, on a marketplace or directly. We were not party to it and cannot unwind it.

2.4 The mint fee on a successful mint. It goes to the platform and, in part, to your referrer.

2.5 The platform fee a creator pays to launch. It is paid before the launch, at the amount quoted at that moment, and buys the launch. It is not refunded if the launch does not go ahead, if the fee later changes, or if the mint fails. [REVIEW: this is what is built. Whether the platform fee should come back when a mint fails is an open decision of the owner's (product/business-model.md); change this line and Terms 5.2 together if it changes.]

2.6 Image generations. A generation is spent when it is drawn. A preview you discard is not refunded, and there is no refund path for generations.

2.7 Gas. Every transaction's gas is paid to the chain, never to us, and is never refunded by anyone.

2.8 A payment sent to the wrong place. A payment sent to the wrong address, on the wrong chain, or in the wrong token cannot be recovered by us. The site records the transaction hash you send it and settles only from that; it cannot settle a payment it was never told about, and it cannot return one.

3. What we can do

We cannot move money, but we can look. If you believe the site recorded a payment wrongly, or a refund the contract owes you is not showing, write to [CONTACT EMAIL] with the transaction hash and the wallet address, and we will check our records against the chain and tell you what we find. The chain's own explorer shows the same facts to anyone.

4. Your legal rights

Nothing here removes a right the law where you live gives you that cannot be removed by agreement. [COUNSEL: whether any consumer-refund rule (for example the EU distance-selling withdrawal right, which has a digital-content exception) reaches any of these payments, given that every one is an on-chain transfer the user signs.]
